Supercomputer consortium of Russia's universities creation
A G R E E M E N T

Under this Agreement
- Moscow State Lomonosov University,
- Nizhny-Novgorod State Lobachevsky University,
- Tomsk State University,
- South-Urals State University,
referred hereinafter as "the Parties", have defined their arrangements on
creation of Supercomputer consortium of Russia's universities

1. General provisions

1.1. Supercomputer consortium of Russia's universities (hereinafter
"Consortium") is a voluntary association of non-profit institutions based
upon mutual interests to jointly realize tasks, defined in Consortium
Contract, to be signed by the Parties according to the Agreement.
Consortium is not a legal entity. The Parties are legal entities,
which have signed Consortium Contract.
1.2. In its activities, Consortium is guided by the existing
legislation of Russian Federation, by Consortium Contract and the
Agreement.

Consortium activities are based upon principles of voluntarism,
transparency and autonomy. Consortium acts jointly with State and local
governing bodies of RF, Russian and foreign commercial and non-profit
organizations and mass-media.



1.3. The full official name of the entity in Russian language is:
Supercomputer consortium of Russia's universities.
Official abbreviation of the entity in Russian language is "SCUR".


2. Consortium's Purposes and Aims
2.1. Consortium is set up to develop and implement measures to use
effectively the existing Higher School potential for development and
application of supercomputer technologies in Russia's education, science
and industry.

2.2. Within the declared purposes, Consortium's activities will be
oriented to solve the following main tasks:

Coordination and managing of Higher School institutions' joint actions to
develop and use modern supercomputer technologies in education, science and
industry.

Coordination of inter-action between commercial companies and industrial
enterprises with Russia's Higher School institutions to develop and
implement supercomputer technologies in hi-tech areas of national economy.

Development of educational programs to train highly qualified specialists,
retrain and raise their skills in supercomputer technologies and efficient
calculations.

Assistance in development of highly efficient computer centers in Russia,
oriented to apply modern computing technologies in all the national
economy's areas.

Creation of advanced experience exchange system, promulgation of the latest
achievements in computing.

Development of scientific, educational and technical purpose-oriented
programs in computing.

Together with Academy of Science's institutions, to promote fundamental and
applied scientific investigations concerned with substantial volumes of
calculations.

Development and support of national system of scientific conferences and
youth scientific schools on supercomputer technologies and applications.

Expanding of international educational and scientific co-operation of
Russian universities in the field of supercomputer technologies and
advanced calculations.

2.3. Important direction in Consortium's activity will be aggressive
promotion of practical application of supercomputer technologies to solve
urgent problems of science, industry, and business, previously not
investigated because of lack of computing resources.

3. Consortium's structure, management and membership

3.1. Consortium membership presumes the existence of permanent members
and associated members.

Permanent membership is granted to a Russian Higher School
institution, licensed to render educational services and interested in
broadening its activities in the supercomputer field and highly efficient
calculations.

Associated membership is granted to a legal entity, interested in
development and application of supercomputer technologies in Russian
universities and in the country as a whole.

The procedure of membership granting and members' duties and rights
are determined according to Consortium Contract.

Member's actions on behalf of Consortium and usage of its attributes
have to be agreed with Consortium's managing committee.

3.2. The supreme authority of Consortium is the General Meeting of
official representatives of permanent and associated members.

Rector, President or other person, according to Consortium Contract,
could officially represent permanent member.

Associated member's official representatives are nominated according
to Consortium Contract and member's institutive documents.

3.3. The main function of the General Meeting is to realize purposes
Consortium was set up for.

At the General Meeting, strategic directions of supercomputer
technologies development in Russian Higher School institutions and their
implementation in national scientific-technological complex are determined,
long-term and current plans are elaborated, progress reports are heard.

The general Meeting decides on membership issues, sets entrance and
purpose fees and determines main sources of Consortium activities'
financing.

3.4. Consortium's President is Moscow State Lomonosov University's
Rector. The Consortium's President is responsible for general guidance of
the Consortium's work.

3.5. Consortium's executive committee, formed from representatives of
Consortium's members, organizes fulfillment of the General Meeting and
President decisions.

3.6. Consortium's permanent member - Moscow State Lomonosov University
- conducts its affairs. Scientific & technical base for Consortium's
activities is scientific-research computer center of Moscow State Lomonosov
University. Head of scientific-research computer center of Moscow State
Lomonosov University is a member of Consortium's executive committee.




4. Concluding clauses

4.1. This Agreement is effective from the moment of its signature and
becomes invalid from the moment of signature of Consortium Contract.

4.2. This Agreement is done and signed in 5 (five) copies, one copy
for each Party. All the copies are equally valid.
